Terms of Service

1. Agreement to Terms

By accessing or using SpeedReview's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Description of Services

SpeedReview provides an AI-powered accounting automation platform designed for accounting professionals. Our services include:

• Integration with QuickBooks Online for transaction syncing
• AI-powered transaction categorization and review suggestions
• Anomaly detection and fraud prevention alerts
• Customizable review checklists and workflows
• Client management and collaboration tools
• Reporting and analytics features

3. Account Registration

To use our services, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

4. Guided Onboarding and Early Access

Access to SpeedReview is currently handled through a guided onboarding process. During this stage:

• We may review your workflow and use case before enabling access
• Initial access, rollout scope, and onboarding sequence are determined directly with our team
• The first 30 days of enabled access may be provided at no charge unless otherwise agreed in writing
• We may limit or defer access while the product remains in private beta or controlled rollout

5. Commercial Terms

Pricing and Billing

Pricing, billing cadence, and deployment scope are handled directly with customers and may vary by workflow, team size, integrations, and rollout requirements. Commercial terms will be communicated during onboarding or in a separate written agreement.

Refunds

Any refund rights will be governed by the commercial terms agreed with you in writing.

Price Changes

We reserve the right to modify our pricing and packaging. Material changes to an active customer arrangement will be communicated in advance and will not take effect until the next agreed renewal or billing period unless otherwise agreed.

6. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the integrity of our services
• Transmit viruses, malware, or other harmful code
• Scrape, copy, or redistribute our content without permission
• Use our services to compete with SpeedReview
• Share your account credentials with unauthorized parties
• Violate any applicable laws or regulations

7. Data and Privacy

Your use of our services is also governed by our Privacy Policy. By using our services, you consent to the collection and use of information as described in our Privacy Policy.

Your Data

You retain ownership of all data you submit to our platform. We are a data processor, not an owner. You may export your data at any time.

QuickBooks Integration

Our integration with QuickBooks Online is subject to Intuit's terms of service. You must have valid authorization to access the QuickBooks accounts you connect to SpeedReview.

8. Intellectual Property

SpeedReview and its licensors retain all rights, title, and interest in and to the service, including all related intellectual property rights. You are granted a limited, non-exclusive, non-transferable license to use the service during your subscription period.

9. Limitation of Liability

To the maximum extent permitted by law, SpeedReview shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the greater of $100 or the amounts paid by you to SpeedReview during the twelve (12) months prior to the claim.

10. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

SpeedReview is a software tool to assist with accounting reviews. It is not a substitute for professional accounting judgment. Users are responsible for verifying all categorizations and recommendations.

11. Termination

You may cancel your subscription at any time. We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination:

• Your right to use the service will cease immediately
• You may request export of your data within 30 days
• We will delete your data within 30 days unless required by law to retain it

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes at least 30 days before they take effect. Your continued use of our services after changes take effect constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of British Columbia, Canada.
